Volare Group has entered into a sales and purchase agreement with ESR Group to acquire to acquire ESR's 241.6 million units in Alpha Integrated REIT (AIR) representing 21.47% of AIR, at 40 cents per unit. Taking into account the acquisition, Volare controls around 464.3 million units or 41.27% of AIR. AIR was formerly Sabana Industrial REIT.
As a result, Volare is making an offer for all the remaining units it and its concert parties do not own, at 48 cents per unit, which is the highest price at which Volare and its parties acting in concert with it had acquired units in the last six months.
The SGX announcement says Volare would like to keep AIR listed, but if the free float falls below 10%, AIR may be delisted from the SGX.
